By accessing, browsing, or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree to these Terms, you must not access or use the Website.

If you access or use the Website on behalf of a corporation, financial institution, employer, governmental entity, partnership, or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that event, the terms “you” and “your” include both you individually and the organization on whose behalf you are acting.

These Terms apply solely to the use of the Website unless expressly incorporated into another agreement. Purchases, projects, software services, manufacturing services, professional services, subscriptions, licenses, maintenance services, installation work, or other business relationships with Companion may be governed by separate proposals, statements of work, purchase orders, master service agreements, license agreements, or other written contracts. In the event of a direct conflict, the applicable separately executed written agreement will control with respect to the subject matter of that agreement.

2. ABOUT COMPANION

CSI Acquisition Corp. conducts business under the names Companion and Companion Systems and provides products and services that may include, among other things, ATM branding solutions, ATM surrounds, enclosures, kiosks, signage, graphics, components, design services, manufacturing services, installation-related services, field services, maintenance services, software-enabled solutions, data collection, project management, and related products and services.

References on the Website to Companion, Companion Systems, the Company, our products, our services, or our intellectual property include CSI Acquisition Corp. and, where applicable, its affiliates, licensors, vendors, contractors, successors, and authorized business partners.

3. WEBSITE INFORMATION IS FOR GENERAL INFORMATIONAL PURPOSES

The Website and its content are provided for general informational, marketing, educational, customer-support, and business communication purposes.

While Companion endeavors to provide accurate and useful information, Website content may contain technical inaccuracies, typographical errors, omissions, outdated information, incomplete product descriptions, preliminary specifications, conceptual renderings, or information that changes without notice.

Product configurations, dimensions, materials, specifications, colors, finishes, functionality, availability, compatibility, delivery times, pricing, and service offerings may change.

The limited permission described above is revocable at any time and does not constitute a transfer or license of any intellectual-property right except the limited Website-use right expressly stated.

6. PATENTS AND PATENTED TECHNOLOGY

Certain products, components, systems, assemblies, methods, technologies, designs, or processes displayed, described, incorporated, or referenced on the Website may be protected by one or more United States or foreign patents or patent applications.

Nothing on the Website grants, expressly or by implication, estoppel, or otherwise, any license or right under any patent or patent application owned by, licensed to, or controlled by Companion or any other person or entity.

The display, description, illustration, discussion, sale, or promotion of a product or service on the Website does not authorize any person to:

  • manufacture or have manufactured a protected article;
  • practice a protected method;
  • reproduce a protected design or technology;
  • reverse engineer protected technology;
  • create an unauthorized derivative product;

  • otherwise engage in conduct that infringes or misappropriates intellectual-property rights.

Where Companion maintains a separate patent-marking webpage, product marking, packaging notice, or other patent notice, that information is incorporated by reference solely for purposes of identifying applicable patent rights.

Any patent notice must be interpreted according to the specific products and patent numbers identified in the applicable notice. The presence of a general intellectual-property notice on this Website should not be interpreted as a representation that every product or service shown on the Website is patented.

“Patent pending” or similar language, where used, indicates that one or more patent applications may be pending. Such language does not represent that a patent has been issued or guarantee that any patent will issue.

7. TRADEMARKS, SERVICE MARKS, AND TRADE DRESS

The names CSI Acquisition Corp., Companion, Companion Systems, associated logos, product names, service names, slogans, designs, graphics, trade dress, and other brand identifiers appearing on the Website may be trademarks, service marks, trade names, registered marks, or other proprietary identifiers of Companion or their respective owners.

Nothing contained on the Website grants permission to use any trademark, service mark, trade name, logo, or other brand identifier without the prior written permission of its owner.

You may not use any Companion name, mark, logo, domain name, product name, or confusingly similar variation:

  • in a company or product name;
  • in advertising;
  • in metadata or hidden text intended to influence search results;
  • in a domain name or social-media identifier;
  • in a manner suggesting sponsorship, authorization, endorsement, affiliation, or partnership;
  • in connection with counterfeit, unauthorized, or competing goods or services; or
  • in any manner likely to cause confusion.

Third-party company names, product names, logos, and trademarks appearing on the Website remain the property of their respective owners. Reference to a third party does not necessarily imply endorsement, sponsorship, or affiliation.

8. PROPRIETARY AND CONFIDENTIAL INFORMATION

The Website may contain information concerning Companion products, designs, methods, technology, systems, processes, workflows, specifications, pricing methodologies, project approaches, software functionality, data models, documentation, or business processes that Companion considers proprietary.

The public availability of information on the Website does not waive any patent, copyright, trademark, contractual, or other intellectual-property right that may apply to that information.

However, information intentionally made publicly available on unrestricted portions of the Website will not, solely by virtue of these Terms, be treated as confidential information subject to a nondisclosure obligation.

Confidential information separately disclosed to you under a nondisclosure agreement, customer agreement, portal agreement, license agreement, employment agreement, contractor agreement, or other written confidentiality obligation will remain subject to that agreement.

Nothing in these Terms modifies, limits, supersedes, or waives any separate confidentiality, nondisclosure, intellectual-property assignment, licensing, or data-protection obligation that applies between you and Companion.

Unauthorized access to restricted areas of the Website, customer portals, internal systems, databases, documents, credentials, or nonpublic information is strictly prohibited.

9. LIMITED LICENSE TO USE THE WEBSITE

Subject to your continued compliance with these Terms, Companion grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable right to access and use the Website for lawful purposes and, where applicable, legitimate business dealings with Companion.

This license does not authorize you to use the Website or Website content to:

  • compete with Companion;
  • replicate Companion’s products or services;
  • develop substantially similar products based on Companion content;
  • train an artificial-intelligence or machine-learning model;
  • create or enrich a commercial dataset;
  • systematically collect Company data;
  • benchmark Companion products or services for public dissemination without authorization;
  • discover or exploit source code, underlying ideas, algorithms, models, system architecture, or proprietary methods; or
  • facilitate intellectual-property infringement or other unlawful conduct.

Companion may revoke this limited license at any time where permitted by law.

10. PROHIBITED USES

You agree that you will not use, or attempt to use, the Website:

  • for any unlawful, fraudulent, malicious, or deceptive purpose;
  • to violate any applicable local, state, federal, or international law or regulation;
  • to infringe, misappropriate, or violate intellectual-property, privacy, confidentiality, contractual, or other rights;
  • to introduce malware, viruses, ransomware, Trojan horses, worms, logic bombs, malicious code, corrupted files, or other harmful technology;
  • to gain unauthorized access to the Website, servers, databases, networks, accounts, APIs, cloud resources, customer portals, administrative interfaces, or connected systems;
  • to bypass, disable, interfere with, or circumvent security mechanisms, authentication requirements, rate limits, technical controls, or access restrictions;
  • to probe, scan, test, attack, or assess the vulnerability or security of the Website or connected systems without Companion’s express prior written authorization;
  • to conduct unauthorized penetration testing or security research;
  • to intercept communications or data;
  • to impersonate another person or misrepresent your affiliation, identity, authority, or intentions;
  • to use bots, spiders, crawlers, scrapers, automated queries, or similar technologies to collect Website content or data except as expressly authorized;
  • to interfere with Website availability, performance, functionality, or operation;
  • to impose an unreasonable or disproportionately large load upon Website infrastructure;
  • to reverse engineer, decompile, disassemble, decode, translate, or attempt to derive the source code or underlying structure of software or technology made available through the Website, except to the limited extent such restriction is prohibited by applicable law;
  • to copy or use Companion designs, specifications, images, drawings, products, methods, or other protected materials to manufacture, source, procure, market, or develop unauthorized products;
  • to remove, obscure, or alter copyright, patent, trademark, confidentiality, or proprietary notices;
  • to send unsolicited advertising, spam, phishing communications, or other unauthorized messages through Website features; or
  • to assist any other person in engaging in prohibited activity.

Companion may investigate suspected violations and may cooperate with law enforcement, regulators, courts, or other appropriate authorities where permitted or required by law.

11. CUSTOMER PORTALS, ACCOUNTS, AND RESTRICTED AREAS

Certain portions of the Website may require authentication or may be restricted to customers, employees, contractors, suppliers, or other authorized users.

Where an account is provided to you:

  • you must provide accurate information;
  • you must keep your credentials confidential;
  • you may not share individual login credentials except where expressly authorized;
  • you are responsible for activity conducted through your account to the extent permitted by applicable law;
  • you must promptly report suspected unauthorized access or credential compromise;
  • you may not attempt to access another user’s account or data;
  • you may not attempt to increase your permissions or privileges without authorization; and
  • you must comply with all additional access, security, confidentiality, and acceptable-use requirements applicable to the restricted system.

Companion may suspend, restrict, or terminate access to restricted areas where reasonably necessary for security, legal compliance, investigation, maintenance, contractual reasons, or suspected misuse.

Access to a customer or business portal may also be governed by a separate agreement. In the event of a conflict relating specifically to the portal or contracted service, the applicable written agreement will control.

12. USER COMMUNICATIONS AND SUBMISSIONS

The Website may permit users to send inquiries, requests for quotations, files, comments, feedback, project information, photographs, service requests, or other communications to Companion.

You retain ownership of materials that you own and submit to Companion.

By submitting content through the Website, you represent and warrant that:

  • you have the right and authority to submit it;
  • its submission does not violate any confidentiality obligation;
  • its submission does not infringe or misappropriate the rights of another party;
  • the information is not knowingly false, fraudulent, malicious, or unlawful; and
  • you have obtained any permissions required to provide personal information or third-party materials contained in the submission.

You grant Companion a nonexclusive, worldwide, royalty-free license to use, reproduce, store, process, transmit, modify, and disclose submitted materials to the extent reasonably necessary to:

  • respond to your request;
  • evaluate or prepare a proposal;
  • perform requested services;
  • provide products or support;
  • administer the business relationship;
  • maintain business records;
  • protect Company rights;
  • comply with law; or
  • carry out purposes reasonably related to the reason for the submission.

This provision does not transfer ownership of your materials to Companion.

Do not submit confidential or highly sensitive information through general-purpose Website contact forms unless Companion has specifically authorized that method of transmission.

Separate confidentiality agreements or customer agreements will control the treatment of information subject to those agreements.

13. FEEDBACK AND SUGGESTIONS

You may voluntarily provide suggestions, ideas, comments, recommendations, or other feedback concerning Companion products, services, or Website features.

Unless otherwise agreed in writing before submission, you grant Companion a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable right to use, reproduce, modify, implement, commercialize, and otherwise use voluntary feedback without payment or attribution.

This section does not transfer ownership of customer confidential information, customer data, copyrighted creative content, or other materials submitted for purposes unrelated to providing product or service feedback.

Nothing in these Terms restricts any legally protected right to provide an honest review, assessment, or opinion regarding Companion’s products, services, or conduct.

14. PRIVACY

Companion’s collection, use, retention, disclosure, and protection of personal information collected through the Website are addressed in the applicable Companion Privacy Policy or privacy notice.

The Privacy Policy is incorporated into these Terms by reference to the extent applicable to your use of the Website.

You should review the Privacy Policy before providing personal information through the Website.

These Terms do not replace or supersede any privacy, security, confidentiality, or data-processing obligations established in a separately executed agreement between Companion and a customer, supplier, employee, contractor, or other party.

By opting in, you have agreed to receive important updates, reminders, and essential information about Companion Systems.  The frequency of these messages may vary, and message and data rates may apply.  At any time, you can reply YES to opt-in, STOP to opt-out, or HELP for more information.

We value your privacy and are committed to protecting your mobile information.  No mobile information, including text messaging originator opt-in data and consent, will be shared with third parties or affiliates for marketing or promotional purposes.  This information is used solely to deliver the services or updates you have explicitly opted into and will not be disclosed to any external parties .

15. COOKIES AND SIMILAR TECHNOLOGIES

The Website may use cookies and similar technologies to support necessary Website functions, improve Website performance, maintain security, remember preferences, perform analytics, or support other disclosed purposes.

Use of cookies and similar technologies is subject to Companion’s applicable Privacy Policy, cookie notice, or cookie preference mechanism.

Where applicable law requires consent or the ability to manage nonessential technologies, Companion will provide the applicable choice mechanism.

A request for information, request for proposal, or request for quotation submitted through the Website does not create a contract or require Companion to provide goods or services.

18. WARRANTIES APPLICABLE TO PURCHASED PRODUCTS OR SERVICES

Any warranties applicable to products or services purchased from Companion are governed by the specific quotation, purchase order, warranty documentation, master agreement, statement of work, license agreement, service agreement, or other governing contractual document.

The Website itself does not create any product or service warranty.

No Website statement modifies or expands a separately agreed warranty unless expressly stated in a written amendment signed by an authorized representative of Companion.

19. WEBSITE DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

COMPANION DISCLAIMS ALL WARRANTIES RELATING TO THE WEBSITE, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OF:

  • MERCHANTABILITY;

  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • SECURITY; AND
  • UNINTERRUPTED AVAILABILITY.

COMPANION DOES NOT WARRANT THAT:

  • THE WEBSITE WILL ALWAYS BE AVAILABLE;
  • ACCESS WILL BE UNINTERRUPTED;
  • THE WEBSITE WILL BE ERROR-FREE;
  • DEFECTS WILL ALWAYS BE CORRECTED;
  • THE WEBSITE OR ITS SERVERS WILL BE FREE OF HARMFUL CODE;
  • WEBSITE CONTENT WILL BE COMPLETE OR CURRENT; OR
  • THE WEBSITE WILL MEET EVERY USER’S REQUIREMENTS.

SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS. IN SUCH JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, SUPPLIERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR:

  • LOST PROFITS;
  • LOST REVENUE;
  • LOST BUSINESS OPPORTUNITY;
  • BUSINESS INTERRUPTION;
  • LOST OR CORRUPTED DATA;
  • LOSS OF GOODWILL;
  • PROCUREMENT OF SUBSTITUTE SERVICES; OR
  • RELIANCE ON WEBSITE CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANION’S AGGREGATE LIABILITY ARISING SOLELY FROM YOUR USE OF THE PUBLIC WEBSITE, EXCLUDING LIABILITY ARISING UNDER A SEPARATE WRITTEN COMMERCIAL AGREEMENT, WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO COMPANION SPECIFICALLY FOR ACCESS TO THE WEBSITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

ANY LIABILITY ARISING UNDER A SEPARATE CONTRACT FOR PRODUCTS OR SERVICES WILL BE GOVERNED BY THE LIABILITY TERMS OF THAT AGREEMENT.

21. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Companion and its affiliates, officers, directors, employees, agents, representatives, licensors, and contractors from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from or relating to:

  • your unlawful use of the Website;
  • your material violation of these Terms;
  • content or material you submit through the Website;
  • your infringement or misappropriation of third-party rights; or
  • your unauthorized access to or interference with the Website or connected systems.

Companion reserves the right to assume control of the defense of a matter otherwise subject to indemnification, and you agree to reasonably cooperate with that defense.

This section does not require a consumer to indemnify Companion for Companion’s own unlawful conduct where such a requirement would be prohibited by applicable law.

22. COPYRIGHT INFRINGEMENT NOTICES

Companion respects intellectual-property rights.

A copyright owner or authorized representative who believes that material available through the Website infringes a copyright may send a written notice to Companion containing sufficient information to:

  • identify the copyrighted work claimed to have been infringed;
  • identify the material claimed to be infringing and provide sufficient information to locate it;
  • provide the complaining party’s name and contact information;
  • state that the complaining party has a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
  • state that the information provided in the notice is accurate and, under penalty of perjury where applicable, that the complaining party is authorized to act on behalf of the copyright owner; and

Where Companion operates services eligible for, and intended to rely upon, applicable statutory safe-harbor procedures, Companion may maintain separate designated-agent information and procedures as required by law.

Companion reserves the right to remove or restrict access to material where appropriate and to address repeat infringement involving user-controlled content where applicable.

Knowingly submitting a materially false infringement notice may result in legal consequences.

23. SECURITY REPORTING

Companion values responsible reporting of legitimate security concerns.

Unless Companion has expressly authorized security testing in advance and in writing, you may not perform vulnerability scanning, penetration testing, exploitation, credential testing, denial-of-service testing, social engineering, or other intrusive testing against the Website or related systems.

A person who believes they have identified a genuine security vulnerability should report it privately through an official Companion contact channel and should not:

  • exploit the vulnerability beyond what is reasonably necessary to confirm its existence;
  • access, modify, retain, or disclose customer or personal data;
  • disrupt Company services;
  • install persistent access mechanisms;
  • demand payment through threats of disclosure or disruption; or
  • publicly disclose the issue before Companion has had a reasonable opportunity to investigate and respond.

Nothing in this section authorizes activity that would otherwise violate applicable law.

24. ELECTRONIC COMMUNICATIONS

When you use the Website, submit a form, or communicate with Companion electronically, you consent to receive communications concerning that interaction electronically where permitted by law.

You agree that electronic records, notices, disclosures, and communications may satisfy legal requirements that such communications be in writing, except where applicable law requires a different form of notice.

Marketing communications are subject to applicable law and the preferences and unsubscribe mechanisms provided with those communications.

25. CHILDREN’S USE OF THE WEBSITE

The Website is intended for business and general adult audiences and is not directed to children under thirteen years of age.

Companion does not knowingly solicit personal information from children under thirteen through a Website service directed to children.

A parent or legal guardian who believes that a child has submitted personal information to Companion may contact Companion to request review and appropriate action.

Companion operates from the United States.

The Website may be accessible from locations outside the United States. Companion makes no representation that all Website content, products, or services are appropriate, permitted, or available in every jurisdiction.

28. JURISDICTION AND VENUE

Except where applicable law requires otherwise or where a separate written agreement provides otherwise, any legal action arising solely from these Terms or use of the Website shall be brought in a court of competent jurisdiction located in the State of Utah.

You consent to the personal jurisdiction of those courts for disputes governed by this section.

Nothing in these Terms prevents Companion from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, systems, accounts, data, or security.

29. TIME LIMIT FOR CLAIMS

To the extent permitted by applicable law, any claim arising solely from your use of the public Website must be commenced within one year after the claim accrues or it will be permanently barred.

This limitation does not apply where prohibited by law and does not modify the limitations period contained in any separately executed written agreement.

30. CHANGES TO THE WEBSITE

Companion may modify, suspend, restrict, discontinue, or replace any part of the Website at any time, subject to applicable law and contractual obligations.

Companion is not obligated to maintain any specific Website feature or content indefinitely.

We may perform maintenance, security updates, emergency changes, or service modifications without prior notice where reasonably necessary.

31. CHANGES TO THESE TERMS

Companion may update these Terms from time to time.

When material changes are made, Companion will post the revised Terms on the Website and update the “Last Updated” date.

Changes will operate prospectively unless applicable law or an express agreement permits otherwise.

Where law requires additional notice or affirmative consent for a particular change, Companion will provide the required process.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

You should periodically review these Terms.

32. TERMINATION AND SUSPENSION

Companion may suspend, restrict, or terminate your access to all or part of the Website if Companion reasonably believes that:

  • you have materially violated these Terms;
  • your use presents a security risk;
  • your use is unlawful;
  • access is required to be restricted by law or governmental order;
  • your account has been compromised; or
  • suspension is reasonably necessary to protect Companion, its customers, other users, or third parties.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, proprietary rights, disclaimers, limitations of liability, indemnification, governing law, venue, and interpretation.

33. NO WAIVER

A failure or delay by Companion to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

34. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

If modification is not possible, the invalid provision will be severed.

The remaining provisions will continue in full force and effect.

35. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without Companion’s prior written consent.

Companion may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or transfer of the Website or relevant business operations, subject to applicable law.

36. FORCE MAJEURE

Companion will not be liable for delays, interruptions, or failures affecting the Website that result from circumstances beyond its reasonable control, including:

  • natural disasters;
  • severe weather;
  • fire;
  • flood;
  • earthquake;
  • war;
  • terrorism;
  • civil unrest;
  • labor disruption;
  • governmental action;
  • utility failures;
  • telecommunications failures;
  • widespread internet outages;
  • cloud or hosting-provider failures;
  • cyberattacks;
  • public-health emergencies; or
  • similar events beyond Companion’s reasonable control.

This provision does not excuse obligations that cannot lawfully be excused.

37. RELATIONSHIP OF THE PARTIES

Your use of the Website does not create a partnership, joint venture, franchise, employment relationship, agency relationship, fiduciary relationship, or exclusive business relationship between you and Companion.

Neither party has authority to bind the other solely by virtue of Website use.

Except where expressly stated otherwise, these Terms are for the benefit of you and Companion and do not confer enforceable rights upon any third party.

39. HEADINGS AND INTERPRETATION

Section headings are provided for convenience and do not affect interpretation.

The words “including,” “includes,” and similar terms mean “including without limitation.”

References to the singular include the plural where context requires, and references to the plural include the singular.

These Terms should not be construed against either party solely because one party prepared or published them.

40. ENTIRE AGREEMENT REGARDING PUBLIC WEBSITE USE

These Terms, together with the applicable Privacy Policy and other Website policies expressly incorporated by reference, constitute the agreement between you and Companion regarding use of the public Website.

These Terms do not supersede:

  • master service agreements;
  • nondisclosure agreements;
  • purchase agreements;
  • purchase orders accepted by Companion;
  • software licenses;
  • subscription agreements;
  • statements of work;
  • service agreements;
  • warranty agreements;
  • data-processing agreements; or
  • other written contracts

that separately govern your business relationship with Companion.

In the event of a conflict, the more specific applicable written agreement controls within its subject matter.
